1. Acceptance of Terms

By accessing or using the Rally Point website (“the Site”) and any services, products, or information provided through the Site, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Site.

Rally Point (“we,” “our,” or “us”) reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective upon posting. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

2. Eligibility & Use of the Site

The Site is intended for use by:

• Employees and authorized representatives of U.S. federal, state, and local government agencies.
• Military units and Department of Defense personnel.
• Law enforcement agencies and first responder organizations.
• Educational institutions and other qualified public-sector entities.
• Authorized prime contractors and subcontractors supporting government end-users.

By using the Site, you represent that you are at least 18 years of age and have the authority to bind your organization to these Terms, if applicable.

3. Government & Institutional Sales Only

Rally Point is a business-to-government (B2G) supplier. We do not sell products directly to individual consumers through this Site. All product inquiries, quotes, and orders are subject to verification of eligibility. We reserve the right to decline any inquiry or order at our sole discretion.

4. Product Information & Availability

Product descriptions, specifications, and images displayed on the Site are provided for informational purposes and may not reflect the most current manufacturer data. We strive for accuracy but do not warrant that product descriptions are complete, reliable, or error-free.

Product availability is subject to change without notice. All orders are subject to acceptance by Rally Point and the applicable manufacturer or distributor. Pricing, lead times, and minimum order quantities are provided at the time of quotation and are not displayed on the Site.

5. Quotes, Orders & Contracts

Submitting a quote request through the Site does not constitute a binding order or contract. All sales are subject to Rally Point’s standard terms and conditions of sale, the terms of any applicable government contract or procurement vehicle, and final acceptance by Rally Point.

For orders placed under a GSA Schedule, IDIQ contract, or other government procurement vehicle, the terms of that vehicle shall govern to the extent they conflict with these Terms.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, videos, software, and the overall design and layout — is owned by or licensed to Rally Point and is protected by United States and international copyright, trademark, and intellectual property laws.

The Rally Point name, logo, and associated marks are trademarks of Rally Point. Manufacturer names, logos, and product images displayed on the Site are the property of their respective owners and are used for informational purposes.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.

7. User Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation.
• Submit false, misleading, or fraudulent information through any form on the Site.
• Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site.
• Interfere with or disrupt the operation of the Site or its underlying infrastructure.
• Use automated means (bots, scrapers, spiders) to access or collect data from the Site without our express written permission.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RALLY POINT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RALLY POINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE.

In no event shall Rally Point’s aggregate liability exceed the amount paid by you, if any, for the specific product or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rally Point and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts located in Texas.

For orders placed under federal government contracts, the Contract Disputes Act and other applicable federal procurement laws and regulations shall govern to the extent they apply.

13. Government End-User Provisions

If you are a U.S. Government end-user, certain provisions of these Terms may be modified or superseded by federal law, regulation, or the terms of your applicable procurement contract. Nothing in these Terms shall be construed to limit any rights the U.S. Government may have under the Federal Acquisition Regulation (FAR) or the Defense Federal Acquisition Regulation Supplement (DFARS).

14. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification — shall survive.

15. General Provisions

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rally Point regarding your use of the Site.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, government action, natural disasters, and labor disputes.
